Terms of Service

Publication draft. The legal issuer name, address, and effective date must be confirmed before these Terms are published or subscription money is accepted.

1. These terms

These Terms of Service ("Terms") govern your use of the Vemlet software and website ("Vemlet", "we", "us", "our"). By creating an account or using Vemlet, you ("the operator", "you") agree to these Terms. If you do not agree, do not use the service.

2. The service

Vemlet is software that helps vehicle rental operators run their businesses, including managing bookings, recording vehicle handover and return, holding deposit records, generating documents, and related operational features. Vemlet is a tool provided to the operator. It is not a marketplace, a public booking service, or a payment service between an operator and that operator's customers.

3. Your account

You must provide accurate information when you create your account and keep it up to date. You are responsible for activity under your account and for keeping access to your account secure. You must be legally able to enter into these Terms and use Vemlet for a lawful business purpose.

4. Plans and free trial

Vemlet has two standard plans: Plus at Rs. 3,500 per month for up to 10 active vehicles, and Pro at Rs. 5,000 per month for up to 25. The Pro limit is the maximum. Both plans include the same operational features, a website hosted by Vemlet and direct founder support. Pro adds the higher limit and use of an eligible domain you own for your public website and supported document links. You pay the domain provider separately for purchase and renewal. Agree support availability and setup help before getting started.

A new account begins with one Plus trial lasting 31 elapsed days from signup. No payment is required and no card is collected. You may ask to use Pro during the trial; this changes the available plan benefits but does not extend or restart the original trial end. If you do not explicitly confirm paid continuation, the trial ends without a paid period or subscription invoice.

5. Paid service, invoices, and payment

Paid service requires the verified owner's agreement through WhatsApp on the plan, vehicle limit, monthly price, payment terms and start date, together with the billing name and address. The founder records that agreement before activation. Trial use or a message alone does not activate paid service. If recorded before trial expiry, continuation starts at the original trial end. Otherwise, activation or renewal starts on the actual date the founder records it, without billing the inactive gap.

Monthly service is billed in arrears: each invoice follows a completed paid period and covers the service already used. Payment is due 14 elapsed days after the invoice is issued. No money is collected automatically, but an agreed paid period still creates a bill.

Subscription payment is by verified manual bank transfer. A message, screenshot, or transfer reference is not treated as payment until the transfer is matched and confirmed. Vemlet does not collect card details, charge automatically, place a payment hold, or use a payment gateway. Prices are in LKR. Vemlet is not registered for VAT, so VAT is not charged or added to subscription invoices.

6. Plan changes and limits

A paid upgrade from Plus to Pro makes Pro benefits available immediately, while the open service period keeps its confirmed Plus price. Pro pricing begins with the next period. A change from Pro to Plus takes effect at the next period boundary and can be confirmed only after the active fleet is reduced to 10 vehicles or fewer. A confirmed price change never reprices a period already in progress.

7. Cancellation, nonpayment and access

The verified owner may request cancellation at any time. Once recorded by the founder, it takes effect at the end of the current paid period. That period and any existing debt remain payable. No later paid period starts. Stopping use or sending money does not itself cancel service.

An overdue invoice does not suspend Active service automatically. On or after day 21 from invoice issue, the founder may remind you, wait or schedule cancellation for nonpayment. Cancellation can take effect only at an eligible monthly boundary at least 7 elapsed days after the notice was actually sent. Access remains active until that boundary. There are no late fees or automatic cancellation notices.

When a trial or paid service ends, new operational work is disabled, but authenticated access to retained records, invoices and permitted actions to finish existing work remains available. Ending service for cancellation or nonpayment does not automatically delete your data. We may also suspend or terminate access for a material breach, a legal requirement, or protection of the service and other users. Our Refund & Cancellation Policy forms part of these Terms.

8. Billing corrections and refunds

Billing records are corrected without erasing financial history. Depending on the error, we may issue a credit note, void an eligible unpaid invoice, replace an invoice, reallocate a confirmed receipt, record a verified refund, or append a reversal. Invoice numbers and completed financial facts are not reused or silently overwritten. The Refund & Cancellation Policy explains when a refund may be due.

9. Public sites and document links

Website hosting is part of your subscription. When service ends, public website removal can take time, including longer than 24 hours after an outage or failed update. Extra visibility does not extend paid service or create another charge. When Pro ends, document links on your domain stop working immediately; the website returns to its Vemlet address after publication updates if the subscription remains eligible. Your saved domain configuration is retained and can be removed.

Anyone with a valid public document link can read its document until access expires or is revoked. While service remains inactive, public access through standard Vemlet document links stops 60 elapsed days after service ends. Private documents and permitted actions to finish existing work remain available. Renewal at or after that deadline requires new public links. Expiry or revocation cannot retrieve downloaded copies and does not delete retained records.

Only work created before service ended can qualify for completion. An existing booking can be handed over only when both its scheduled start and actual handover are before that 60 day deadline. A booking handed over within those limits can later be returned, settled and privately documented. A booking not handed over can be cancelled. Service work created and scheduled before service ended can be completed or cancelled; later scheduled work can only be cancelled. These actions do not unlock general profile edits or new work.

10. Acceptable use

You agree not to use Vemlet for any unlawful purpose, not to attempt to gain unauthorised access to the service, not to interfere with or disrupt the service, not to copy, resell, or sublicense the service, and not to reverse engineer, decompile, or attempt to extract the source code of the software except to the extent permitted by law.

11. Data you enter about others

Vemlet allows you to record personal data about your customers and drivers. You are the data controller of that data. You are responsible for having a lawful basis to collect and use it, for informing those individuals as required by the Personal Data Protection Act, No. 9 of 2022 (as amended), and for using the data lawfully. Our handling of that data is described in our Privacy Policy, where we act as your processor.

12. Intellectual property

The Vemlet software, design, and service content are protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the service while it is available to your account. You retain ownership of the data you enter into Vemlet. Documents that Vemlet generates for you to give to your customers carry your business's identity.

13. Availability and warranties

We work to keep Vemlet available and reliable, but the service is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted or error-free. To the extent permitted by law, we exclude all warranties not expressly stated in these Terms.

14. Limitation of liability

To the maximum extent permitted by law, Vemlet will not be liable for any indirect, incidental, or consequential loss, or for any loss of profits, revenue, data, or business, arising out of or in connection with your use of the service. Nothing in these Terms excludes any liability that cannot be excluded under the law of Sri Lanka.

15. Indemnity

You agree to indemnify and hold Vemlet harmless from any claim arising out of your use of the service in breach of these Terms or of applicable law, including any claim relating to personal data you have entered about your customers or drivers.

16. Changes

We may update the service and these Terms from time to time. When we change these Terms, we will update the effective date at the top of this page and, where appropriate, notify you. Your continued use of the service after a change takes effect means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka have jurisdiction over any dispute arising from them.
